Terms of Service

Welcome to Powervox! These Terms of Service ("Terms") govern your access to and use of Powervox’s websites (www.powervox.com and its subdomains, powervox.io and its subdomains), and Powervox tools embedded on third-party websites, including the online scheduling tool and widget made available on dental practice websites (collectively, our “site”), products, services, and content provided by Powervox, LLC ("Powervox", "we", "us", or "our"). By accessing or using our site or services, you agree to be bound by these Terms. If you are a patient or other individual using our online scheduling tool or widget, please also read Section 3A below, which explains that the Powervox Scheduling Terms of Use govern that use.

1. Acceptance of Terms

By accessing or using any part of the Powervox website or services, you agree to comply with and be bound by these Terms. If you do not agree, do not access or use our site or services. Where we present a notice of, or a link to, these Terms or the Powervox Scheduling Terms of Use at the point of use, including on a booking screen or within a Powervox tool embedded on a third-party website, you agree to the applicable terms by continuing to use that screen or tool, or, where a checkbox, button or other acknowledgement is presented, by giving that acknowledgement. This is in addition to, and does not limit, your acceptance of these Terms by accessing or using our site or services.

2. Use of Website and Services

You may use our website and services only in compliance with these Terms and all applicable laws. You agree not to:

  • Use the site or services for any unlawful, harmful, or fraudulent purpose;
  • Transmit, distribute, or store content that is inappropriate, offensive, infringing, or malicious;
  • Interfere with or disrupt the site, servers, or networks connected to the services;
  • Attempt to gain unauthorized access to any part of the site, services, or related systems;
  • Reverse engineer, decompile, or attempt to extract the source code of any part of our services.

If you create an account, you are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized use or breach of security.

3. Client-Specific Services

If you enroll in paid software services through Powervox, your use of those services will also be governed by a separate Software License Agreement, Statement of Work, and, where applicable, a Business Associate Agreement (BAA). In the event of any conflict, those agreements will take precedence over these Terms.

3A. Online Scheduling Services

If you are a patient or other individual using Powervox’s online scheduling tool made available at powervox.io (or a subdomain thereof) or the Powervox scheduling widget linked to from, or embedded on, a dental practice’s website (together, the “Scheduling Services”), your use of the Scheduling Services is governed by the Powervox Scheduling Terms of Use, and the Powervox Scheduling Privacy Notice describes how information you submit through the Scheduling Services is handled. If these Terms conflict with the Powervox Scheduling Terms of Use with respect to your use of the Scheduling Services, the Powervox Scheduling Terms of Use prevail. These Terms continue to apply to any other use of our site or services.

Powervox provides the Scheduling Services on behalf of the dental practice with which you are requesting an appointment. The practice, not Powervox, is responsible for reviewing and confirming any appointment request and for all dental or medical care it provides. Submitting a request through the Scheduling Services does not by itself guarantee an appointment, and Powervox does not provide dental or medical care or advice.

The Scheduling Services are not for life-threatening medical or dental emergencies. If you are experiencing a life-threatening medical or dental emergency, do not use online scheduling; call 911 or your local emergency services.

If you are a dental practice that has licensed the Scheduling Services, your use of them is governed by your Software License Agreement or Master Services agreement (as applicable, including its provisions on the Scheduling Services) and your Business Associate Agreement, as described in Section 3, and those agreements control as between you and Powervox.

4. Privacy

Your use of our site and services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

5. No Medical Advice

Any content or interactions on the site or via our services are for general informational purposes only and are not intended to be or replace medical or dental advice. Always seek the guidance of a licensed healthcare provider for medical decisions.

6. Intellectual Property

All content on the site, including text, graphics, logos, software, and other materials, is the property of Powervox or its licensors and is protected by intellectual property laws. You may not use, copy, reproduce, modify, or distribute any content without our prior written consent.

7. Links to Third-Party Sites; Embedded Tools

Our site may contain links to third-party websites or resources. We do not endorse and are not responsible for their content, services, or practices. Your access to and use of those sites is at your own risk. Powervox tools, including the online scheduling widget, may be embedded on or accessed through websites operated by dental practices or other third parties. Each such practice or third party, not Powervox, is responsible for its own website, including its content, services, privacy practices, and any cookies or other tracking technologies it places on its website. Powervox is responsible only for the Powervox tool itself, as described in these Terms and, for use of the Scheduling Services, the Powervox Scheduling Terms of Use.

8. Disclaimers

Our site and services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that the site will be secure, error-free, or continuously available. Use is at your own discretion and risk.

9. Limitation of Liability

To the fullest extent permitted by law, Powervox shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or personal injury arising out of or in connection with your use of the site or services. Our total liability to you for any claim arising out of or relating to these Terms or the services shall not exceed the greater of (a) one hundred dollars ($100) or (b) the total fees you paid to Powervox for the specific service in the twelve (12) months prior to the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Powervox, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the site or services, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the site or services at any time and without notice if we believe you have violated these Terms or applicable law. You may also terminate your use of the site at any time. Upon termination of your access or account for any reason, you are responsible for: (a) immediately ceasing all use of the site and services; (b) disabling any integrations, connections, or automated systems that may continue to send data or traffic to Powervox; and (c) ensuring that no further data transmissions occur from your systems to ours. You agree to reimburse Powervox for any costs incurred from continued traffic sent after termination. If you transmit PHI or patient data, you must cease all such transmissions upon termination. Continued traffic after termination does not constitute reactivation or renewal of this Agreement. Powervox shall not be liable for any damages, costs, or issues arising from continued traffic, data transmissions, or integration activity that you send to our services after termination or cancellation.

12. Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, or governmental restrictions.

13. Changes to Terms

We may update these Terms from time to time. The most current version will be posted at www.powervox.com/terms with the effective date indicated above. Continued use of the site or services after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Johnson County, Kansas.

15. Survival

The following sections will survive any termination of these Terms: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Survival.
